Handan Company Registration: Documents, Steps and Practical Timeline
A practical guide for foreign founders setting up a wholly foreign-owned company in Handan, Hebei: the document package, the registration sequence from name reservation to bank account, how business scope and registered address work, and the delays that most often slow things down.
Handan is a prefecture-level city in southern Hebei, known for steel, equipment manufacturing and a growing base of smaller industrial suppliers. It is not a first-tier city, and that shapes how company registration works in practice: fewer foreign-invested enterprises pass through the local offices each year, so officers may be less familiar with a foreign founder's paperwork than their counterparts in Beijing or Shanghai. Preparation matters more, not less.
This article explains what a foreign founder should prepare, the order in which registration happens, how business scope and registered address are handled, and where timelines typically slip. It covers a wholly foreign-owned enterprise (WFOE), the most common vehicle for a foreign founder who wants full control.
The document package
Expect to assemble a fairly standard set of documents. The exact list is confirmed by the local market supervision bureau (the administration for market regulation) and, for foreign investment, the commerce-side filing system. A typical package includes:
- Passport copy of the foreign legal representative and shareholders, plus a Chinese-language translation where required.
- Proof of the foreign shareholder's existence if the investor is a company: certificate of incorporation, often notarised and legalised (or apostilled where the Hague Apostille Convention applies) in the home country, then translated into Chinese.
- Articles of association for the Chinese entity, in Chinese, setting out shareholding, governance and capital contributions.
- Name reservation confirmation for the proposed Chinese company name.
- Registered address documents: lease agreement and the landlord's property certificate, or equivalent documents for a serviced office or incubator address.
- Appointment documents for the legal representative, supervisor and, if applicable, a board.
- Capital and business scope statement, with the registered capital figure and contribution schedule.
- Foreign investment information report filed through the national foreign investment system after, or in parallel with, establishment.
Translations should be done by a recognised translation agency and stamped; many local offices will not accept self-translated documents. Consular legalisation or apostille is the single most common source of delay, so start it early.
Registration sequence
The order below reflects how registration generally proceeds. Confirm each step with a local agent or the Handan market supervision bureau before filing, because local practice can vary.
1. Name reservation
Submit several candidate Chinese names. Names must follow Chinese naming rules and avoid restricted terms. Approval is usually quick, but a name that sounds like an existing brand or contains an industry term the authority considers inaccurate will be rejected, so have backups.
2. Prepare and sign the establishment file
Draft the articles, appoint officers, and collect notarised and legalised corporate documents. All signatories should sign consistently; mismatched signatures between the passport and the application are a frequent cause of rework.
3. Business licence
File the establishment application with the market supervision bureau. On approval you receive the business licence, which carries the unified social credit code. This is the point at which the company legally exists.
4. Seals and chops
Have the company seals made at an authorised shop and registered. The company seal, legal representative seal, finance seal and contract seal are used for different purposes; losing control of them is a governance risk, so decide who holds them.
5. Bank account
Open a basic RMB account. Banks apply their own onboarding checks, including beneficial ownership and source-of-funds questions, and a foreign shareholder often triggers enhanced review. Expect this step to take longer than the licence itself.
6. Tax and social insurance registration
Register with the tax authority, choose a taxpayer status, and set up social insurance and housing fund accounts if you will employ staff. Bookkeeping and filing obligations begin immediately, even before revenue.
7. Foreign exchange and capital contribution
Register the foreign investment information and arrange the capital account so the shareholder can remit registered capital. Actual remittance should follow the contribution schedule in the articles.
Business scope
Business scope is written in Chinese and must use standard categories. Keep it focused: a long list of unrelated activities invites questions and can affect tax treatment and licensing. If your activity requires a pre-approval licence (for example, certain manufacturing, food, logistics or education activities), that licence is obtained separately, often after the business licence, and can add weeks or months. For a trading, consulting or light industrial company, the scope is usually straightforward.
Registered address
Handan requires a real, documented address. Options include a leased office or factory, a serviced office, or an incubator address that permits registration. The lease and the landlord's property certificate must match the address on the application. Some districts have specific policies on virtual or clustered registration addresses; check with the district before signing a lease, because an address that cannot be registered will force a move and a change filing.
Practical timeline
For a straightforward WFOE with a prepared document set, founders commonly see the following rough sequence. Treat these as planning ranges, not commitments.
- Document preparation and legalisation: two to six weeks, dominated by home-country notarisation and legalisation or apostille.
- Name reservation: a few working days.
- Business licence: roughly one to three weeks after a clean filing.
- Seals: one to three working days.
- Bank account: one to four weeks, longer with enhanced due diligence.
- Tax and social insurance set-up: about one week.
In total, plan for roughly six to ten weeks from a complete document set to an operating bank account, and longer if a pre-approval licence is needed.
Common delays
- Legalisation or apostille problems: missing pages, wrong format, or documents signed by someone without authority.
- Translation quality: inconsistent company names or terms between documents.
- Address defects: lease not matching the property certificate, or a landlord unwilling to provide documents.
- Name rejections: candidates too close to existing marks or containing restricted wording.
- Bank onboarding: unclear source of funds or incomplete beneficial ownership information.
- Business scope wording: activities that trigger licensing not anticipated at the outset.
- Local unfamiliarity: because fewer foreign-invested files pass through Handan offices, expect requests for clarification and build in buffer time.
Engaging a local registered agent or law firm early, and confirming the address and document list with the district office before filing, is the most reliable way to compress the timeline.
